Brava Energia: Termination of the transaction for the sale of concessions in Rio Grande do Norte

Sept. 17 – BRAVA ENERGIA S.A. (“Brava” or the “Company”) (B3: BRAV3), pursuant to CVM Resolution No. 44 and further to the Material Fact disclosed on February 10, 2025, hereby informs its investors and the market in general of the termination of the transaction for the sale of 11 onshore oil and gas concessions located in the Potiguar Basin, in the State of Rio Grande do Norte, to the consortium formed by Azevedo e Travassos Petróleo S.A. (“A&T”) and Petro-Victory Energy Corp. (“PVE”).

The termination resulted from the occurrence of the contractually agreed Longstop Date without certain conditions precedent to the closing of the transaction having been satisfied by the buyer consortium, and Brava exercised its right to terminate the transaction pursuant to the terms and conditions set forth in the Purchase and Sale Agreement (“SPA”).

The termination of the transaction does not affect Brava’s short- and medium-term strategic planning, including its operational and capital allocation plans. The Company considers the transaction terminated and will remain attentive to any need to provide additional clarification to the market, pursuant to applicable regulations.
