Sept.17 (PN) OceanPact and CBO confirmed this week the completion of their business combination, following final approval from the Administrative Council for Economic Defense (Cade) and the fulfillment of other conditions precedent. With the integration, CBO becomes part of OceanPact, while the Shipping unit is renamed OceanPact CBO. Upon completion of the transaction, the combined company operates a fleet of 70 vessels, employs over 5,000 people, generates annual revenue exceeding R$ 4 billion, and holds a contracted backlog of over R$ 14 billion.
According to the companies, these figures place the firm among the country’s leading maritime and offshore service providers. The new scale also enhances flexibility in asset allocation and increases capacity to deliver highly complex services, such as environmental emergency response, subsea operations, decommissioning, integrated logistics, and environmental projects.
The business combination is structured around four strategic pillars: strengthening cash generation, with greater potential for dividend payments; expanding operational capacity, supported by an enlarged asset base; creating value through commercial and operational integration and synergy capture; and fleet complementarity, featuring increased capabilities, a lower average vessel age, optimized asset allocation, and a diversified customer base.
“CBO joining OceanPact marks a new chapter in our company’s history. We have a tremendous opportunity ahead: to combine the best of our respective histories to build an operation that is even more comprehensive, efficient, and prepared to create value for our clients and society,” highlights OceanPact CEO Flavio Andrade.
Marcos Tinti, Vice President of Shipping at OceanPact CBO, emphasized the continuity of the legacy built by the company. “The business combination with OceanPact extends our legacy. We carry forward what CBO built that matters most: our experience, our best practices, our people, and our commitment to safe, efficient, and high-quality operations.”
The company’s leadership team will consist of Flavio Andrade, Haroldo Solberg, Eduardo de Toledo, Erik Cunha, Adriano Ranieri, and Fernando Borensztein, alongside Marcos Tinti and Marcelo Martins—executives joining from CBO.
The completed transaction combines OceanPact’s diverse service offerings with CBO’s operational capabilities. According to the companies, this new scale will enable them to capitalize on a greater volume of commercial opportunities and offer the offshore market a more robust, agile, and integrated structure capable of generating value across various stages of the operational chain.
