Brava Energia Update on the Arbitration Relating to the Papa-Terra Field Consortium

Feb. 18 – BRAVA ENERGIA S.A. (“Brava” or “Company”) (B3: BRAV3), pursuant to CVM Resolution No. 44, and following the Material Facts of May 3, 2024 and May 10, 2024, hereby informs its investors and the market in general that, on February 15, 2026, a procedural order was issued in the arbitration proceedings initiated by Nova Técnica Energy Ltda. (“Nova Técnica” and “NTE”) against 3R Petroleum Offshore S.A. (“3R Offshore”), a subsidiary of the Company, authorizing 3R Offshore to proceed with the necessary actions to conclude the transfer of the 37.5% stake held by NTE in the Papa-Terra Field Consortium, including the transfer before the National Agency of Petroleum, Natural Gas and Biofuels (ANP) and other competent government agencies.

The aforementioned authorization is subject to the following conditions, which must be observed until the Arbitral Tribunal makes its final decision on the merits of the dispute:

  1. Prohibition of sale to third parties: 3R Offshore is prohibited from selling or transferring the 37.5% stake to third parties; and
  2. Reversibility: the decision remains reversible until the final decision of the Arbitration Tribunal.

Finally, Brava reinforces its commitment to keep its investors and the market in general properly informed, in line with best corporate governance practices and in strict compliance with current legislation.
