Brava Energia on closing of the purchase and sale transaction of gas midstream infrastructure with Petroreconcavo

BRAVA ENERGIA S.A. (“BRAVA” or “Company”) (B3: BRAV3), pursuant to CVM Resolution No. 44, and following the Material Fact disclosed on May 5, 2025, informs its investors and the market in general that the Asset Purchase and Sale transaction (“Agreement”) with PETRORECONCAVO S.A. (“PetroReconcavo”), regarding the sale of 50% of the gas midstream infrastructure in the Potiguar Basin, in the state of Rio Grande do Norte, was concluded on this date.

Today, PetroReconcavo, after price adjustments and the fulfillment of precedent conditions, paid to the Company the amount of R$ 168.8 million, corresponding to 50% of the total transaction value. This amount adds to the sum of R$ 127.9 million, corresponding to 35% of the total transaction value, already paid in two installments: the first upon execution of the Agreement on June 5, 2025, and the second upon approval of the transaction by the Administrative Council for Economic Defense (“CADE”) on July 25, 2025. The remaining 15% will be settled in installments, in accordance with the stages of the real estate transfer process.

Brava highlights that it will remain the operator of the assets and that, as of this date, the operation will be governed by a Joint Operating Agreement (“JOA”), as well as by the establishment of an Operating Committee, responsible for defining budgetary and efficiency guidelines. The Company further reiterates that this transaction aims to enhance efficiency and maximize the utilization of infrastructure assets, in addition to reducing operating costs of the local operation.

Finally, Brava reinforces its commitment to keep its investors and the market in general properly informed, in line with best corporate governance practices and in strict compliance with current legislation.
