3R PETROLEUM ÓLEO E GÁS S.A. (“3R” or “Company”), in compliance with provisions of article 12 of CVM Resolution No. 44, communicates to its investors and the market in general that received on June 30, 2022, notice from Banco BTG Pactual S.A. (“BTG Pactual” or “Bank”) informing about the change in its equity interest in the Company.
BTG Pactual informed that its interest, directly and through vehicles in which it has investments in the Company, is now less than 5% of the capital stock of 3R. Additionally, the Bank clarified that its equity interest does not involve the objective of changing the corporate structure or management of the Company. Finally, BTG Pactual informed that it does not have other securities and derivative financial instruments referenced in such shares, whether physical or financial settlement, or any agreement or contract regulating the exercise of voting rights or the purchase and sale of securities issued by the Company.
3R makes available, as an annex to this communication, the notification received in its entirety and reinforces its commitment to keep its investors and the market in general duly informed, in line with the best corporate governance practices and in strict compliance with current legislation.
