Petrobras – Divestment in the Fertilizer Sector: Disclosure of Opportunity – Teaser

Rio de Janeiro, September 11, 2017 – Petróleo Brasileiro SA – Petrobras informs that it has initiated the disclosure phase of the Teaser, regarding the process of divesting 100% of its assets in Araucária Nitrogenados SA (“ANSA”) and in the Nitrogen Fertilizer Unit III (“UFN-III”).

ANSA is a wholly-owned subsidiary of Petrobras, with a nitrogen fertilizer unit in operation, located in the State of Paraná, with a production capacity of 1,975 tons / day of urea, 1,303 tons / day of ammonia and 450 m3 / day of the Liquid Reducing Agent Automotive – ARLA 32.
The UFN-III is a unit under construction, located in the State of Mato Grosso do Sul, with a physical advance of 81%. The plant will have urea production capacity of 3,600 tons / day and ammonia of 2,200 tons / day. The completion of the works will be the responsibility of the buyer.

Besides the Teaser, the main subsequent phases of each divestment project will be disclosed, as detailed below:
• Start of the non-binding phase (if applicable);
• Start of the binding phase;
• Concession of exclusive negotiation (if applicable);
• Transaction approval by Senior Management (Executive Board and Board of Directors) and signature of contracts;
• Closing.
The disclosure to the market herein is in compliance with Petrobras’ divestment methodology, which was reviewed and approved by our Executive Board, and is aligned with the guidelines of the Federal Accounting Court (TCU – Tribunal de Contas da União).
