Petrobras Clarification on News: Divestments in the Gas Pipeline Network

Rio de Janeiro, May 06, 2016 – Petróleo Brasileiro S.A. – Petrobras hereby answers to the Official Letter No. 195/2016/CVM/SEP/GEA-1, which requests the following clarifications:

“Mr. Director,

We refer to the news item published today in the newspaper Folha de São Paulo, Panel section, under the title: “Billions at Sight”, which contained the following statements:

Petrobras will close two more big sales. One of them may be of its gas pipeline network. A technician close to the negotiations say that the operations will yield about US$ 4 billion

In view of the above, we request that you clarify whether the information in question is true, and if so, why it was not disclosed through a Material Fact, as well as comment on other information deemed relevant to the issue.”

Clarification

As reported on February 26, 2016, Petrobras is negotiating the sale of Nova Transportadora do Sudeste (NTS) – wholly-owned subsidiary of Petrobras responsible for assets of natural gas transportation in the Southeast.

Is worth mentioning that, there is not yet any agreement conferring certainty to the conclusion of the transaction, nor any deliberation by the Executive Board or by the Board of Directors of Petrobras.

The Company has other ongoing negotiations under the Divestment Program provided for in the 2015 – 2019 Business and Management Plan, which will be announced as they are completed and approved.
