Rio de Janeiro, September 16, 2015 – Petróleo Brasileiro S.A. – Petrobras complies with Official Letter 359/2015/CVM/SEP/GEA-1, which requested clarifications as transcribed below:

“We report hereby to the news published by the Isto É Dinheiro magazine, under the title “Petrobras sem Gaspetro” (Petrobras without Gaspetro), which included the following statements:

“Petrobras has put on sale Gaspetro, which holds interest in almost all piped gas distributors in the country.  With the decision not to carry out the IPO of BR Distribuidora, Gaspetro is the most valuable asset of the sale plan of the state-owned company presided by Aldemir Bendini.  Analysts estimate that the gas distributor would be worth approximately US$2.6 billion.”

In this regard, we request clarifications about the veracity of the news, and, if confirmed, about the reasons why said fact was not disclosed to the market. ”

Clarification

As disclosed on June 29, 2015, Petrobras approved a divestment plan totaling US$15.1 billion for the 2015-2016 biennium.

Due to that Plan, the company is considering divestment opportunities in the areas of energy and gas, exploration and production and dowstream.

The disinvestment portfolio is dynamic and the materialization of these opportunities depends on negotiation and market conditions.

Facts deemed material concerning this matter will be disclosed to the market in a timely manner.
