Clarification on News: Divestments
Rio de Janeiro, June 17th, 2015 – Petróleo Brasileiro S.A. – Petrobras complies with OFFICIAL LETTER n.º 184/2015/CVM/SEP/GEA-1, which requests clarifications as follows:

“We refer to the article released on this date in the newspaper “O Estado de São Paulo”, entitled: “Petrobrás negotiates selling part of Gaspetro to Mitsui”, in which presents the following statements:
“Petrobras studies the possibility of dividing Gaspetro – its gas and energy subsidiary – into two companies in order to put them up for sale. The strategy is part of the Company´s plan of selling assets to reinforce the cash and reduce the indebtedness. According to sources from Broadcast, a real time service of Agência Estado, on one hand, it is the entire gas commercialization business, which includes interests on distributors and gas pipeline of fuel transport. On the other hand, there are the thermal plants.
Negotiations, intervened by Itaú BBA Bank, are in advance. The most listed Company to close the deal is Mitsui Gas and Energy, a Japanese Company interested in the distribution area. Mitsui is already a Petrobras´ partner in eight distributors and is under Brazilian Federal Police investigation in Lava Jato (”Car Wash”) Operation.
Mitsui´s controlling group made the headlines this month when information emerged on payment of bribes to Mr. Eduardo Cunha (PMDB-RJ, acronym for a Brazilian Political Party), Chairman of the Chamber of Deputies. The case is under investigation of Federal Supreme Court (STF, acronym in Portuguese).
The accusations came from the deposition of Mr. Alberto Yousseff in the Lava Jato (“Car Wash”) Operation. Mr. Yousseff affirmed that Mr. Cunha requested specific information on contracts signed between Mitsui and Petrobras in order to pressure the Japanese group to maintain its bribes. The Chairman of the Chamber of Deputies denies the accusations and ignores the requirements made by the Brazilian National Congress to have access to Mitsui´s contracts.
Distributors. Gaspetro is present in 19 gas distributors, located around the country. Gaspetro is partner of GasBrasiliano, located in the northwest of São Paulo, and Ceg, in Rio de Janeiro. Gaspetro also has interest in three energy companies, in one liquefied natural gas (LNG) commercialization and logistic company, import product and used as raw material to production of thermal energy, and has a coal sub products utilization company called Indústria Carboquímica Catarinense (ICC).
Subsidy. In distributors and thermal companies, the sale of assets requires a change in the management model. Currently, the corporate decisions are not based only on profit. Frequently, the natural gas sold to energy production is subsidized to guarantee the electricity supply in the country, mainly in this time of crisis in which hydroelectric power plants have fewer production caused by drought affecting reservoirs.
In 2014, Petrobras´ gas and energy area registered a loss of US$ 410 million, mainly because of the increase LNG import cost whose price is affected by Dollar variance in comparison to Real.
Thermal Generation. To a non-identifiable member of the Government, the fact that Petrobras terminated the LNG business will not immediately affect the thermal generation, which depends on gas to produce energy at a lower cost.
As the fuel supply contracts for power plants are a long term agreements, even if Gaspetro is sold, gas distributors that were under its management will continue to sell the product at subsidized prices while the term of the signed contracts.
Mitsui has interest in Algás (AL), Bahiagás (BA), Cegás (CE), Compagás (PR), Copergás (PE), Pbgás (PB), SCgás (SC) and Sergás. Mitsui is partner of Gaspetro in all aforementioned companies. Together, such companies are responsible for 8% of gas distribution market in the country. Mitsui informed that “do not comment on market rumors and speculations”. Petrobras also had no comments on the matter.

Clarification
As released on 03/02/2015, Petrobras approved a divestment plan of US$ 13.7 billion to 2015-2016.
In view of this plan, the Company is analyzing the opportunity of divestments in gas and energy areas, as well as in exploration, gas and oil production and supply areas.
The divestment portfolio is dynamic and the execution of such opportunities depends on business and market conditions.
Facts considered relevant on this matter will be timely communicated to the market.
